Terms of Service

1. Scope and intended clients

TacticCuts provides video post-production services. The service is designed for agencies, studios and companies that resell video production to their own clients, and these terms are addressed to them (the "Client").

TacticCuts remains free to serve other types of clients. This has no effect on the confidentiality and white-label obligations set out below, which apply in full to every Client.

2. Non-solicitation

TacticCuts does not solicit the Client's end clients. For the duration of the relationship and for twelve months after the last delivery, TacticCuts will not directly offer its services to a business it became aware of solely through work assigned by the Client.

This does not apply to a business already in contact with TacticCuts before the assignment, or to a business that approaches TacticCuts on its own initiative without the Client's involvement.

3. Free trial

The first video is provided at no charge, once per Client. It includes the full edit from raw footage, three hook variations and three revision rounds, on the same terms as a paid video.

No credit card is required and no commitment results from it. The delivered file belongs to the Client whether or not they continue.

TacticCuts may decline a trial request, in particular where the material supplied is incomplete, where the request falls outside the service offered, or where a trial has already been provided to a related entity.

4. Pricing and payment

The rate applies per delivered video and follows the volume delivered during the calendar month:

• under 15 videos per month: CAD $54.99 per video;
• 15 to 29 videos per month: CAD $47.99 per video;
• 30 videos or more per month: CAD $39.99 per video.

Options: extra hook variation at CAD $7.50, 48-hour rush at CAD $25.00 per video, revision rounds beyond the third under section 6.

No monthly minimum, no subscription and no fixed-term contract. Payment is due per order, unless a written agreement provides for monthly billing. Prices are in Canadian dollars, taxes extra where applicable.

Late payment. Any amount unpaid thirty days after the invoice date bears interest at 1.5% per month, being 18% per year, calculated daily. TacticCuts may suspend work in progress and delivery of files while a balance remains unpaid, and that suspension is not a breach on its part.

Rates may change on thirty days' written notice. Orders already confirmed are unaffected.

5. Turnaround

Standard turnaround is three to five business days. It begins only once TacticCuts has received every required element, those elements are readable and accessible, and the style sheet has been established.

A missing element, an inaccessible link, a corrupted file or an outstanding answer from the Client pauses the clock until resolved. Statutory holidays applicable in Quebec are not business days.

6. Revisions

Three revision rounds are included in the rate for each video. A round is a set of comments sent in one go. Comments sent separately after work on a correction has begun count as a further round.

Revisions cover execution of the edit against the agreed style sheet. The following are not revisions and are billed as a new assignment: a change of art direction, a change of source footage, a change of length or format requested after delivery, a concept rework, or a request made more than thirty days after delivery.

Additional rounds are billed at CAD $15.00 each.

Absent comments within seven days of a delivery, that delivery is deemed accepted.

7. White label

Delivered files carry no watermark, no credit and no metadata identifying TacticCuts. The Client delivers the work under their own client relationship.

TacticCuts does not display, publish or distribute any work produced for a Client, on any medium, including for sales demonstration purposes.

8. Client responsibilities and warranties

The Client warrants that it holds all necessary rights to the footage, music, fonts, images, trademarks and any other element it supplies, and that it has obtained the permissions and consents required from the people appearing in them or whose voice is used.

The Client is solely responsible for the content of the message, for its compliance with applicable law, including advertising, contest and language-of-display rules, and for final approval before publication.

TacticCuts performs no rights clearance on supplied material and has no obligation to do so.

9. Indemnity

The Client shall indemnify and hold TacticCuts harmless from any claim, proceeding, loss, damage, fine or cost, including reasonable legal fees, arising from material it supplied, from its use of the deliverables, from infringement of a third party's rights, or from an inaccurate statement made under section 8.

10. Ownership

Footage, assets, the style sheet and finished edits remain the property of the Client. TacticCuts claims no rights in them and does not reuse them for any purpose.

Rights in the deliverable transfer to the Client on full payment of amounts due for that video. Before payment, the Client holds a review licence only, not a right to publish.

TacticCuts retains ownership of its working methods, internal templates and know-how, none of which contain material belonging to the Client.

11. Confidentiality

TacticCuts treats as confidential the footage, assets, style sheet, deliverables and the identity of the Client's end clients. None of it is disclosed, published or used for any purpose other than carrying out the assignment.

Access is restricted to the people who need to work on the assignment, and each Client's files are kept in separate storage.

12. Subcontracting

TacticCuts assigns editing work to professional editors, employed or contracted, located in Canada and abroad. TacticCuts remains solely responsible to the Client for quality and turnaround.

13. No guarantee of results

The service is provided "as is". No guarantee is given as to commercial performance, view counts, engagement rates, conversion or business outcomes arising from the delivered videos.

To the extent permitted by law, any implied warranty of merchantability or fitness for a particular purpose is excluded.

14. Limitation of liability

To the extent permitted by law, TacticCuts' total liability to the Client, on any basis and across all claims, is limited to the amount paid by the Client during the three months preceding the event giving rise to the claim.

TacticCuts is in no case liable for indirect, incidental or punitive damages, including loss of profit, contracts, goodwill, data or business opportunities, nor for the consequences of a delayed publication.

15. Force majeure

TacticCuts is not liable for delay or non-performance caused by an event beyond its reasonable control, including a power or network outage, a failure at a hosting or storage provider, a cyberattack, a natural disaster, a health emergency, a labour dispute or a government decision.

The affected deadline is extended accordingly. If the event lasts beyond thirty days, either party may end assignments in progress, with work already performed remaining payable.

16. Refusal and termination

Either party may stop using the service at any time, without notice and without penalty, since no fixed term exists.

TacticCuts may decline or stop an assignment, in particular where the material is unlawful, defamatory, hateful, sexually explicit, misleading, or infringes a third party's rights. TacticCuts may also stop serving a Client whose requests become abusive or whose account carries an unpaid balance.

Assignments in progress at that time are completed and billed normally, except where termination is for unlawful material.

17. Communications

Communications about assignments take place by email and through the shared storage space. The Client is responsible for keeping the email address it provided up to date and for checking its junk mail.

18. Entire agreement, severability and governing law

These terms are the complete agreement between the parties on their subject matter and replace any prior agreement or representation. If a clause is held invalid, the others remain in force.

TacticCuts' failure to enforce a right at any time is not a waiver of that right.

These terms are governed by the laws applicable in the province of Quebec. Any dispute falls under the exclusive jurisdiction of the courts of the judicial district of Montreal.

19. Changes

These terms may be amended. The version displayed on this page at the time of an order is the one that applies to that order.
